editWhy RKO Pictures is considered on Wikipedia as a defunct company instead of as a company that was revived in 1981
editWhy is RKO Pictures considered on Wikipedia as a defunct company instead of as a company revived in 1981? — Preceding unsigned comment added by Me the blue lover (talk • contribs) 03:08, 15 March 2017 (UTC)
- The later incarnations of RKO are mentioned here RKO Pictures#Later incarnations. They are different entities from the original company. MarnetteD|Talk 03:13, 15 March 2017 (UTC)
- (ec) RKO_Pictures#Later_incarnations does describe the revival. But, after so many years, can it really be considered the same company, if all it has in common with the old one is the name ? Apparently the authors of the article thought not. StuRat (talk) 03:15, 15 March 2017 (UTC)
- Does this mean there's no possible way to bring back the original company? But I really miss it! Me the blue lover (talk) 04:30, 15 March 2017 (UTC)
- I suspect this person has the right words for this situation. MarnetteD|Talk 04:36, 15 March 2017 (UTC)
- It's like the difference between the Ottawa Senators and the Ottawa Senators. ←Baseball Bugs What's up, Doc? carrots→ 03:21, 15 March 2017 (UTC)
- Or is Engelbert Humperdinck (composer) the same person as Engelbert Humperdinck (singer) ? After all, they both worked in the music industry and only 15 years separated the death of the first from the birth of the 2nd. StuRat (talk) 15:40, 15 March 2017 (UTC)
- And oddly enough, the composer's birth name was Arenwald Georg Dorsenheim. ←Baseball Bugs What's up, Doc? carrots→ 16:38, 15 March 2017 (UTC)
- Boring, dry, and most probably not relevant to the jurisdiction the companies were in legal answer alert!
- This has to with legal personality and corporate mortality. (No way in heck am I going to fix that red-link. I read a lot of books, and the only four books that ever gave me nightmares were Beloved (novel), Once Were Warriors, Joe Cinque's Consolation... and "Australian Corporations Law: Cases and Materials" - in particular about Section 588g - or whatever the set text was back early this century.)
- OK, let's say the hypothetical company RKO Pictures Australia Pty Ltd was registered with ASIC in 2001. It would have received an Australian Company Number, and a registration certificate, the equivalent of a birth certificate for a human.
- And let's say it was wound up and deregistered (after filling in Form 6010) in 2006. It would have received a a deregistration certificate, the equivalent of a death certificate for a human.
- So in 2017 I hypothetically decide to re-register the hypothetical company RKO Pictures Australia Pty Ltd. It would probably be given a new ACN and a new registration certificate. The hypothetical new registration certificate would be that analog of two birth certificates of two humans that by coincidence had the same name.
